These Terms of Service ("Terms") govern your access to and use of Ad Analyzer ("the Service"), a proprietary advertising analytics and management platform operated by CE Digital, LLC ("CE Digital", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.
The Service is invite-only and not publicly available. Access is granted solely at CE Digital's discretion to individuals and organizations with whom CE Digital has an existing business relationship. Your access credentials are personal and non-transferable. You may not share your login, permit access by unauthorized parties, or circumvent any access controls.
CE Digital reserves the right to revoke access at any time, with or without notice, for any reason including but not limited to violation of these Terms or termination of the underlying business relationship.
You may use the Service solely for lawful purposes and in connection with advertising accounts and campaigns for which you have proper authorization. You agree not to:
You retain full ownership of all advertising data, creative assets, and campaign information associated with your accounts. CE Digital accesses this data solely on your behalf to provide the Service. We do not claim any ownership rights in your data and will not use it for purposes other than operating the Service.
The Service retrieves data from Meta (Facebook/Instagram), Google, Northbeam, and other advertising platforms using credentials you authorize. By using the Service, you represent that you have the authority to grant such access on behalf of the relevant accounts. CE Digital acts as your agent in accessing this data and is not responsible for the availability, accuracy, or completeness of data provided by third-party platforms.
The Service uses AI models, including Anthropic's Claude, to generate analysis, recommendations, and reports. All AI-generated content is provided for informational purposes only. CE Digital makes no warranties regarding the accuracy, completeness, or fitness for a particular purpose of any AI-generated output. You are solely responsible for any business decisions made based on analysis produced by the Service.
The Service, including its software, algorithms, prompt systems, user interface, and all associated documentation, is the proprietary property of CE Digital and is protected by applicable intellectual property laws. These Terms do not grant you any license to CE Digital's intellectual property other than the limited right to use the Service as described herein.
You agree to keep confidential any non-public information about the Service's features, pricing, or operation that you learn through your use of the Service. This obligation survives termination of your access.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. CE Digital does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. Your use of the Service is at your sole risk.
To the fullest extent permitted by applicable law, CE Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if CE Digital has been advised of the possibility of such damages. CE Digital's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total fees paid by you to CE Digital in the twelve months preceding the claim, or $100 if no fees were paid.
You agree to indemnify and hold harmless CE Digital and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.
Either party may terminate access to the Service at any time. Upon termination, your right to use the Service ceases immediately. Sections 3, 6, 7, 8, 9, 10, and 13 survive termination.
CE Digital may update these Terms from time to time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms. We will notify authorized users of material changes via email.
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Los Angeles County, California.
